Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Amoledo Sp. z o.o. Please read them carefully before using the Platform.

1. Who We Are

The GPRHub platform at gprhub.com ("Platform", "Service") is operated by:

Hereinafter referred to as "GPRHub", "we", "us", or "our".

2. Acceptance of Terms

By creating an account on the Platform or by using any of its features, you ("User", "you") acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, do not register, do not make any payment, and do not use the Platform.

3. Eligibility

The Platform is intended for business use only. To register, you must:

Be at least 18 years old
Be acting on behalf of a legally established business entity or as a registered sole trader
Have the authority to enter into contracts on behalf of that business
Not be subject to EU or international sanctions
Not have had a previous GPRHub account terminated for violation of these Terms

We reserve the right to refuse registration or terminate any account at our discretion.

4. Service Description

GPRHub is a B2B marketplace connecting:

Advertisers — businesses seeking to publish guest posts on third-party websites for PR, branding, and SEO purposes.
Publishers — website owners offering guest post placements on their platforms.

GPRHub acts as an intermediary facilitating transactions, providing escrow services for payments, content moderation tools, and dispute resolution. GPRHub is not a party to the publishing agreement between Advertiser and Publisher.

5. Account Registration and Security

5.1. You must provide accurate and complete information during registration, and keep it up to date.

5.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

5.3. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

5.4. We may require additional verification (including website ownership verification for Publishers) before enabling certain features.

5.5. You may not create multiple accounts to circumvent these Terms, quotas, or referral program limits.

6. Financial Terms

6.1. Currency. All amounts on the Platform are denominated in United States Dollars (USD) unless stated otherwise.

6.2. Platform commission. GPRHub charges a platform commission of 10% on each deposit. This commission is deducted at the moment of deposit, before funds are credited to your balance.

Example: If you wish to have $30.00 credited to your balance, Stripe will charge $33.33 to your payment method. $30.00 is credited to your balance, and $3.33 is the platform commission.
The commission rate may be updated from time to time. Users will be notified of changes at least 14 days in advance.

6.3. Deposits. Deposits are made via Stripe. We do not store full payment card details; payment processing is handled exclusively by Stripe Payments Europe, Ltd. Minimum deposit is $10. A first project requires a minimum balance of $30.

6.4. Orders and escrow. When an Advertiser places an order:

The full amount of the site placement is held from the Advertiser's balance (escrow).
Upon successful publication verified by the Advertiser or Platform, funds are released to the Publisher's balance in full (no commission is deducted from the order — commission has already been collected at deposit).

6.5. Withdrawals. Publishers may request withdrawals from their balance. Minimum withdrawal is $50. Processing time is typically 3–10 business days, depending on the payment method. Amoledo Sp. z o.o. reserves the right to request additional verification before processing withdrawals.

6.6. Taxes. Users are solely responsible for declaring and paying any taxes due on their Platform activity in their jurisdiction. For EU B2B transactions, reverse-charge VAT rules apply where applicable. Upon request, we may issue invoices from Amoledo Sp. z o.o. for Platform commissions.

6.7. Referral program. The Platform may offer a referral program with bonuses for inviting new Users. Full terms are described within the Platform. Bonuses are considered promotional credit and have no cash value outside the Platform unless explicitly stated.

7. User Obligations

7.1. Advertiser obligations:

Provide article content that is original (or properly licensed), lawful, and not misleading.
Not submit content that is defamatory, infringing, pornographic, promoting violence, hate speech, illegal substances, gambling targeting minors, or otherwise unlawful.
Ensure that anchor text and linked URLs comply with applicable laws and do not mislead readers.
Not attempt to manipulate search engine rankings in ways that violate the guidelines of major search engines (though the core product of dofollow guest posts is a legitimate marketing practice).

7.2. Publisher obligations:

Confirm legitimate ownership and editorial control of the website offered.
Publish accepted articles within the timeframes stated on the site listing.
Maintain the published article and its links as agreed (typically for no less than 12 months unless otherwise specified).
Not demand additional fees from Advertisers outside the Platform's payment flow.
Promptly notify the Advertiser and the Platform if the website undergoes ownership change, domain migration, or takedown.

8. Prohibited Uses

You agree not to use the Platform to:

Violate any applicable law or regulation, in Poland, the EU, or your own jurisdiction
Infringe intellectual property rights of others
Distribute malware, phishing content, or fraudulent schemes
Engage in money laundering or transactions with sanctioned entities
Circumvent Platform fees by arranging payments outside the Platform
Use automated scraping, bots, or reverse engineering of the Platform
Harass, threaten, or defraud other Users
Submit false disputes or manipulate the resolution process

Violations may result in immediate account suspension, forfeiture of balances held as security for claims, and reporting to relevant authorities.

9. Content and Intellectual Property

9.1. You retain ownership of content you upload to the Platform (articles, site descriptions, project briefs).

9.2. By uploading content, you grant GPRHub a non-exclusive, royalty-free, worldwide license to host, display, and process the content solely for the purpose of operating the Platform.

9.3. Once an article is delivered from an Advertiser to a Publisher via the Platform and published, the publication rights on the Publisher's website are governed by the agreement between the two Users. Unless otherwise agreed, the Publisher obtains a perpetual license to keep the article published.

9.4. GPRHub's trademarks, logos, Platform design, source code, and aggregated data remain the exclusive property of Amoledo Sp. z o.o.

10. Disputes Between Users

10.1. If an Advertiser and Publisher cannot resolve a disagreement directly, either party may open a formal dispute through the Platform's dispute resolution system.

10.2. Platform-mediated dispute resolution is free of charge. GPRHub reviews submitted evidence (messages, published URL, article content, timestamps) and issues a binding decision within the Platform (release funds, refund Advertiser, partial split).

10.3. The Platform's dispute decision is final for the purposes of the Platform balance; it does not prevent either party from pursuing legal remedies in competent courts.

10.4. Common dispute scenarios and default outcomes:

Publisher failed to publish within the agreed timeframe — full refund to Advertiser.
Published article does not match the approved content — full refund if not corrected within a reasonable period.
Advertiser requests cancellation before publication — refund depending on order status (see Refund Policy).

11. Refunds

Refunds are governed by our separate Refund Policy, which is incorporated into these Terms by reference.

In summary:

Unused balance may be withdrawn at any time (subject to minimum withdrawal rules).
Platform commissions collected at deposit are generally non-refundable, except where a deposit is reversed by Stripe due to fraud or chargeback.
Order-level refunds depend on the stage of the order and fault allocation (see Section 10 and the Refund Policy).

12. Limitation of Liability

12.1. The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, GPRHub disclaims all warranties, express or implied.

12.2. GPRHub does not guarantee:

That Publisher websites will maintain any specific traffic, ranking, or domain metrics
That guest posts will produce any specific SEO or business outcome
That the Platform will be uninterrupted, error-free, or completely secure

12.3. To the extent permitted by applicable law, GPRHub's aggregate liability to any User for any claim arising out of or related to the Platform is limited to the total Platform commissions paid by that User in the 12 months preceding the claim.

12.4. GPRHub shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or loss of business opportunity.

12.5. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable Polish and EU law, including liability for willful misconduct, gross negligence, or damages to consumers that cannot be limited by contract.

13. Indemnification

You agree to indemnify and hold harmless Amoledo Sp. z o.o., its directors, employees, and agents from and against any claims, damages, and expenses (including reasonable legal fees) arising out of:

Your breach of these Terms
Content you uploaded or transactions you conducted on the Platform
Your violation of any applicable law or third-party rights

14. Suspension and Termination

14.1. You may close your account at any time by contacting [email protected]. Pending orders must be resolved before account closure.

14.2. We may suspend or terminate your account, with or without notice, if:

You breach these Terms
We reasonably suspect fraudulent or illegal activity
Your account is required to be closed by a legal order
Your account has been inactive for more than 24 months

14.3. Upon termination, access to the Platform ceases. Balances under $10 may be forfeited if we cannot process a withdrawal due to inactive or invalid payment details after reasonable attempts to contact you.

14.4. Sections 9 (Intellectual Property), 12 (Limitation of Liability), 13 (Indemnification), and 17 (Governing Law) survive termination.

15. Changes to the Terms

We may update these Terms from time to time. For material changes, we will notify registered Users via email or a prominent Platform notice at least 14 days before the new version takes effect. Continued use of the Platform after the effective date constitutes acceptance of the new Terms.

If you do not agree with the new Terms, you may close your account before the effective date and withdraw any remaining balance under the then-current rules.

16. Communications

By registering, you agree to receive service-related communications from us (account notifications, order updates, dispute messages, security alerts). These are essential to the Service and cannot be opted out of while your account remains active.

Marketing communications (newsletters, promotional offers) are sent only with your explicit consent, which you may withdraw at any time.

17. Governing Law and Jurisdiction

17.1. These Terms are governed by the laws of the Republic of Poland, without regard to its conflict of laws principles. European Union consumer protection laws apply where applicable and cannot be derogated from.

17.2. Any dispute arising out of or related to these Terms or the Platform that cannot be resolved amicably shall be submitted to the jurisdiction of the competent Polish courts having territorial jurisdiction over the registered office of Amoledo Sp. z o.o. in Warsaw, Poland.

17.3. This does not deprive consumers of mandatory protections under the law of their country of residence, where applicable.

18. Miscellaneous

18.1. Entire agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and GPRHub regarding the Platform.

18.2. Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

18.3. No waiver. Our failure to enforce any right or provision does not constitute a waiver of that right.

18.4. Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights to a successor entity in connection with a merger, acquisition, or restructuring.

18.5. Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control (natural disasters, war, widespread infrastructure outages, government actions).

18.6. Language. The Platform is available in multiple languages. In case of discrepancy between translations, the English version prevails, except where Polish or another EU language is required by mandatory law for consumers in that jurisdiction.
